Welcome to POS by Flavytech Solutions Ltd. These Terms and Conditions (“Terms”) govern your use of our ERP/POS software-as-a-service platform accessible at pos.flavytechsolutions.com (“Service”). By registering, subscribing, or using the Service, you agree to be bound by these Terms.

If you do not agree with these Terms, do not access or use the Service.

2. Definitions

• “User”, “You”, “Your” refers to the business or individual accessing the Service.

3. Eligibility

You must be at least 18 years old or a registered business entity to use the Service. You agree that all registration information is accurate, current, and truthful.

4. Account & Access

• Each user must maintain confidentiality of their login credentials.

• You are responsible for all activity under your account.

• We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription & Payment

• The Service is billed on a monthly or annual subscription basis.

• Failure to pay on time may lead to suspension or termination of access.

• All fees are non-refundable unless otherwise stated.

6. Data & Privacy

• You retain ownership of your business data.

• We implement reasonable security measures to protect your data.

• Our Privacy Policy governs data collection, storage, and use.

7. Acceptable Use

You agree not to:

• Use the Service for illegal or fraudulent activities

• Attempt to reverse-engineer, clone, or resell the system

• Upload or transmit viruses, spam, or harmful code

8. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance or unexpected downtime may occur.

9. Intellectual Property

All intellectual property, including source code, UI/UX, and branding, remains the exclusive property of Flavytech Solutions Ltd.

10. Termination

We may suspend or terminate your access if you:

• Violate any of these Terms

• Fail to pay subscription fees

• Engage in abuse or misuse of the system

Upon termination, your access will be revoked and data may be deleted after a grace period (e.g., 30 days).

11. Disclaimer

The Service is provided “as is” and “as available.” We do not warrant that it will meet your specific requirements, or that it will be error-free.

12. Limitation of Liability

In no event shall Flavytech Solutions Ltd be liable for:

• Loss of profits, revenue, or data

• Business interruption

• Indirect or consequential damages

13. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.
